Wholesale Terms & Conditions
Please read these Terms & Conditions (T&C's) carefully and ensure that you understand them before ordering any Products from Our Site. You will be required to read and accept these terms when ordering Products. This Contract is binding, and if you do not agree to comply with these Terms of Sale, you will not be able to order any Products from Our Site.
- Definitions & Interpretations: -
"Contract" - means a contract for the purchase and sale of Products;
"Products" - means the goods and products sold by Us on Our Site;
"Our Site" - means our website www.geminisfineartstudio.c.uk;
"Customer" - refers to one entering the contact through sale of Products;
"Order" - means your order of Products;
"Supplier/We/Us/Our" - means Gemini's Fine Art Studio.
- International Customers -
We currently sell and ship to customers in the UK. We also accept orders from, and deliver to, customers outside the UK, providing that the customer agrees to the price of the postage and packaging.
- Products, Pricing & Availability -

We try our best to make sure that all descriptions and photographic representations of Products available from Us accurately portray the Products on Our Site. Please note the following, however:

The images of Products are for illustrative purposes only. There may be slight variations in colour and brightness between the image of the Product and the actual Product sold due to different lighting conditions;

Images and/or descriptions of packaging are for illustrative purposes only, the actual packaging of Goods may vary.

Where applicable, you may be required to select the size, range and type of Products that you are purchasing.

We cannot guarantee that our Products will always be available. We carry out regular stock checks, however, such checks may not always be accurate, especially when receiving a high amount of orders for a specific product that day.

We try our best to ensure that all prices shown on Our Site are correct at the time of going online. We reserve the right to change prices and to, add, alter or remove special offers from time to time as necessary. All pricing information is reviewed and updated regularly. Any orders that were placed before any changes were made will not be affected.

All prices are checked by Us ​before We accept your Order. In the unlikely event that We have shown incorrect pricing information, We will contact you by email to inform you of the mistake. If the correct price is lower than that shown when you placed your Order, we will simply charge you the lower amount and continue to process your Order. If the correct price is higher, We will give you the option to purchase the Products at the correct price or to cancel your Order. We will proceed with processing your Order until you respond. If We don not receive a response from you within 5 working days, We will treat your order as cancelled and notify you by email.​

In the event that the price of Products you have ordered changes between your Order being placed and Us processing your Order and taking payment, you will be charged the price shown on Our Site at the time of placing your Order.​

Delivery charges are not included in the price of our Products displayed on Our Site. Delivery options and related charges will be presented to you as part of the order process in your shopping cart and prior to the checkout process.
- Orders -

​Our Site will guide you through the ordering process. Before submitting your Order, you will be given the opportunity to review and amend you Order. Please ensure you have checked and reviewed your Order before submitting it.

If, during the ordering process, you provide Us with incorrect or incomplete information, please contact Us as soon as possible. If We are unable to process your Order due to incorrect or missing information, We will contact you to ask to correct it. If We do not hear from you within a reasonable time of Our request, We will cancel the order and treat the Contract as ended. If We incur any costs as a result of incorrect or incomplete information, We may pass those costs on to you.

Only the Order you submit at checkout constitutes as a contractual offer that We may, at Our sole discretion, accept. Our acceptance is indicated by Us sending you an Order Confirmation by email. Only once an Order Confirmation email is sent to you, will there be a legally binding contract between Us and you.

Order Confirmations shall contain the following:

Your Order Number;​

Confirmation of Products ordered including full details and descriptions of those Products;

Fully itemised pricing for the Products ordered including, where appropriate, taxes, delivery, discounts, and other additional charges.

We will also include a paper copy of the Order Confirmation with your Products.

In the unlikely event that We do not accept or cannot fulfil your Order for any reason, We will explain why by email. No payment will be taken under normal circumstances. If any payment has been taken, any such sums will be refunded to you as soon as possible within 7 days.

Any refunds due will be made using the same payment method that you used when ordering the Products.

- Payment -

Payment of Products and related delivery charges must always be made in advance and you will be prompted to pay during the ordering process.

We accept the following methods of payment on Our Site:

Pay via Paypal, Debit or Credit card (Note: A Paypal account is not a requirement)​

- Delivery & Risk -

We shall ensure that:

Each delivery of the Products is accompanied by a delivery note which shows the date of the Order, all relevant Customer and Supplier reference numbers, the type and quantity of the Products (including SKU numbers of the Products), special storage instructions (if any) and, if the Order is being delivered in instalments.​

The Customer shall not be entitled to reject the Goods if the Supplier has delivered up to and including 10% more or less than the quantity of the Products ordered. However, an adjustment will be made to the Order invoice on receipt of notice from the Customer that the wrong quantity of Products was delivered.

All Products purchased through Our Site will normally be delivered between 1-2 weeks after the date of the Order Confirmation unless otherwise agreed or specified during the Order process (subject to delays caused by events outside of our control).

Delivery of Our Products will be via Royal Mail Tracked 24 service within the UK mainland.

All international deliveries will incur additional costs, such as import taxes, that the Customer will have to pay.​

Once the delivery is complete to the address provided, the responsibility of the Products will pass to you.

Ownership of the Products passes to you once We have received payment in full.

- Faulty, Damaged or Incorrect Goods -

If any Products that you have purchased are faulty or were damaged during transit or you receive incorrect Products, please contact Us as geminisfineartstudio@gmail.com as soon as reasonably possible to inform Us of the fault, damage or error, and to arrange for a refund or replacement.

Any refunds issued will include all delivery costs paid by you when the Products were originally purchased.

- Resale of Goods -

Products purchased for business purposes may not be sold through online marketplaces such as Etsy.com, Etsy.co.uk, Ebay.com, Amazon.co.uk, Amazon.com or any other online marketplace not mention without our express written consent.

Products may not be altered, re-packaged or re-branded under any circumstances.

- Events Outside of Our Control -

We will not be liable for any failure or delay in processing your Order where that failure or delay results from any cause that is beyond our control. Such causes include, but are not limited to: power failure, internet service provider failure, flood, storms etc, or any other event that is outside our control.

If any of these events occurs that is likely to affect Our performance under these Terms of Sale:

We will inform you as soon as reasonably possible;​

We will take any and all reasonable steps to minimise the delay;

If We cannot minimise the delay, Our affected obligations under these Terms of Sale (and therefore the Contract) will be suspended and any time limits that we are bound by will be extended accordingly;

We will inform you when the event outside our control is over and provide updated dates, times or availability of Products as necessary;

If the event outside of Our control continues for more than 7 days, We will cancel the Contract and inform you of the cancellation. Any refunds due to you will be paid to you as reasonably possible within the 7 days of the Contract's cancellation.

Under law, We will not misuse or sell any of your personal information. Any information you provide during the ordering process or signing up as a wholesale member will be strictly used only in communication during the ordering process, refunds, Order amendments, replacement Products, updates and any other requirement within the bounds of the Supplier needing to contact the Customer.
